The work of the Board

In accordance with the Code, the Board's main tasks include:

  • Establish the company's overall goals and strategy;

  • Adding, evaluating and, if necessary, dismissing the CEO;

  • Establish appropriate guidelines for managing the company's behavior in society, with the goal of ensuring its long-term value-creating ability;

  • Ensure that there is an appropriate system for monitoring and controlling the company's operations and the risks for the company that are associated with the business;

  • Ensure that there is satisfactory control of the company's compliance with laws and regulations that are relevant to the company's business, as well as the application of internal guidelines; and

  • Ensure that the company's external communication is characterized by openness and that it is accurate, reliable and relevant.

The Board of Directors has adopted rules of procedure for its internal operations that include rules for the number of Board meetings, issues to be addressed at regular Board meetings and the Chairman's duties. These rules of procedure are updated and adopted by the Board each year at the statutory Board meeting, which is normally held immediately after the Annual General Meeting. The Chairman shall also be responsible for ensuring that the Board regularly evaluates the CEO, at least once a year. The Board of Directors has established an Audit Committee and a Remuneration Committee, which were granted certain supervision and supervisory responsibility on behalf of the Board.

The Chairman of the Board shall ensure that the Board's duties and working methods are evaluated and discussed with the Board members annually, and that the Nomination Committee is informed of the results, in order to develop the Board's working methods and efficiency.

Board meetings

According to the rules of procedure, the Board shall hold at least six ordinary meetings and one statutory meeting per calendar year.

Prior to the meetings, an agenda is sent along with in-depth information on more important issues and decision-making documents for the Board members. The Board deals with the year-end report, interim reports, matters before the AGM, review with auditors, annual report, strategy and budget.
